Terms of Service

Agreement

By downloading, installing, or using Melo (“the App”) you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App. The App is operated by the individual developer behind Melo (“we”, “us”).

License Grant

We grant you a personal, non-exclusive, non-transferable, limited license to install and use Melo on up to two (2) macOS devices that you own or control. This license is conditional on your compliance with these Terms and payment of any applicable fees.

Subscription license. Paid monthly. Access continues for the duration of your active subscription. Cancellation takes effect at the end of the current billing period.

Lifetime license. A one-time payment grants perpetual access to all versions of Melo released at the time of purchase and any future updates for as long as the App exists under the same developer.

Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the App
• Rent, lease, lend, or sublicense the App to any third party
• Use the App to build a competing product
• Circumvent license validation or activation mechanisms
• Remove or alter any copyright or proprietary notices

Payments & Billing

All prices are in USD. Subscriptions are billed automatically at the start of each billing cycle. You authorise us (via Stripe) to charge your payment method on file. Prices may change with 30 days' notice; continued use after the effective date constitutes acceptance.

Your Content

All notes, tasks, boards, and other content you create in Melo (“Your Content”) remain entirely yours. We claim no ownership of Your Content. Because Melo is local-first, Your Content never leaves your device unless you explicitly share or export it.

Acceptable Use

You agree not to use the App for any unlawful purpose or in violation of any applicable regulations. You are solely responsible for the content you create and store in Melo.

AI Features

Melo may offer optional AI-powered features. When using cloud AI models (e.g. via your own OpenAI or Anthropic API key), your prompts are sent directly from the App to the AI provider using your credentials. We do not see, store, or process those prompts. Refer to your AI provider's terms and privacy policy for how they handle your data.

Disclaimer of Warranties

The App is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid for the App in the 12 months preceding the claim.

Termination

We reserve the right to suspend or terminate your license if you materially breach these Terms. Upon termination you must cease all use of the App. Termination does not entitle you to a refund unless required by law.

Governing Law

These Terms are governed by the laws of the jurisdiction in which the developer is based, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of that jurisdiction.

Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via the Melo website or in-app notification with at least 14 days' notice. Continued use after the effective date constitutes your acceptance of the revised Terms.
